Liquidated Damages
Liquidated Damages is a contractual measure of monetary damages for breach of contract, consisting of an exact sum or formula pre-agreed by the parties at the time of contracting as a genuine pre-estimate of loss in circumstances where actual damages are difficult to ascertain, and enforceable only insofar as it operates compensatorily rather than as a penalty.
