No-action Letter Process

The "No-Action Letter Process" is a formal regulatory procedure within securities law through which an entity requests confirmation from the U.S. Securities and Exchange Commission that the agency will not recommend enforcement action against the entity for a proposed course of conduct, particularly in the context of proxy voting and shareholder communications, thereby providing regulatory certainty without establishing binding precedent.
