Managerial Incentive Alignment

Managerial Incentive Alignment is a governance mechanism that aligns the interests of managers with those of shareholders by structuring compensation and accountability systems to reward long-term value creation and deter short-term risk-taking, particularly through contractual provisions such as clawbacks that enable the recovery of incentive-based pay in the event of performance restatements or misconduct.
