Implied Terms

Implied Terms is a doctrinal category in contract law and contract interpretation consisting of contractual provisions that, though not expressly articulated in the parties’ agreement, are read into the contract by courts or legal rules on the basis of statute, custom, or necessity to reflect objectively inferred intentions and to secure the contract’s validity, efficacy, or fairness.
