Catch-up Provision

A Catch-Up Provision is a contractual mechanism in private equity and hedge fund compensation structures that belongs to the class of performance allocation agreements, distinguished by its function of allowing the general partner to receive an enhanced distribution of profits after a preferred return threshold is met but before the carried interest is fully allocated, thereby "catching up" to the agreed profit-sharing ratio.
